Marvelous UI: Commercial License (v1.0, effective October 7, 2026)

This license is granted to the purchaser ("you") of a Marvelous UI plan by Quentin Fankrache EI (the "licensor"). The plan you bought defines the number of developers ("seats"): Solo = 1 developer, Team = up to 10 developers within one legal entity, Unlimited = unlimited developers within one legal entity. The words below in quotation marks have the meaning given in "Definitions".

Definitions

• "Software": the Marvelous UI components, styles, scripts, documentation and tools (CLI, MCP server) delivered in the Pro pack, in every version you obtain under this license.
• "End Product": a website, web application, SaaS product or internal tool that you build for yourself or for a client, and whose value does not lie substantially in the Software itself.
• "Developer": any natural person who views, modifies, integrates or generates code from the Software, whether an employee, officer, freelancer or subcontractor of yours. An AI agent or code assistant is not a separate Developer: the person who operates it is.
• "Legal entity": the single company, organization or sole proprietorship that bought the plan, as named on the invoice, or otherwise identified by the buyer. Its parent company, subsidiaries, sister companies and franchisees are separate legal entities, each needing its own plan.
• "Plan": a one-time purchase of Solo, Team or Unlimited. "Renewal": the optional yearly subscription described in "Duration, updates and Renewal".
• "License key": the key issued with a Plan or a Renewal. It unlocks the playground export. "Activation": one browser using a License key in the playground. The number of Activations a key allows is a technical limit of the playground only: it is not a number of seats and it never extends your seats.

Seats

1. Named seats. Each seat is assigned to one named Developer. You may reassign a seat permanently when its Developer leaves your organization or stops working with the Software, but you may not rotate or share a seat between several people.
2. Team and Unlimited: one legal entity. A Team or Unlimited plan covers only the Developers of the legal entity that bought it. Solo covers one named Developer.
3. Freelancers and subcontractors. A freelancer or subcontractor who works with the Software on your End Products uses one of your seats (Unlimited: is covered while working for you). The license does not allow them to use the Software for their own projects or for other clients.

You may

1. Use the Software to build an unlimited number of End Products (websites, web applications, SaaS products, internal tools) for yourself or for clients, commercial or not.
2. Modify the Software for use in your End Products.
3. Distribute the components actually used in an End Product as part of that End Product, including their source when the End Product is a website or application delivered to a client. That client may use them only to operate and maintain that End Product, and receives no license to use them in any other product. You must pass these limits on to your client in your contract with them.
4. Unlimited plan only: hand over to that client the source of the components used in that End Product, so that the client or its other providers can maintain that End Product. The same limits apply: only the components used in that End Product, only for that End Product.
5. Keep the source of an End Product in a public repository, provided that the repository contains only the components actually used by that End Product, integrated in it, and not the Software as a library (no other components, documentation, registry, CLI or MCP server), and that it states: "Marvelous UI components: licensed for use in this project only, not licensed for reuse."

You may not

1. Sell, resell, sublicense, share, rent or redistribute the Software itself, alone or bundled, modified or not, or any product whose value lies substantially in the Software. For example, you may not:
   • sell or give away a UI kit, component library or design system built from the Software, including a fork or a rename of its components;
   • sell or give away a website, landing-page or application template, theme or starter kit that contains the Software;
   • list the Software, or a product containing it, on a marketplace or template store;
   • publish the Software, or part of it, as an npm package or in any other package registry or CDN;
   • offer a page builder, code generator or AI tool whose output contains the Software.
2. Publish the Software in source form in a public repository, package registry or CDN, except as allowed by "You may" §5.
3. Share your license key, or let more Developers use the Software than your seats.
4. Remove or alter the license notices and license identifiers in the Software's source files, except through the automated minification or bundling of an End Product.
5. Use the Software to train or fine-tune machine-learning models intended to generate UI components.

Files also published under the MIT License

Some files of the Software are also published in the Marvelous UI Free pack under the MIT License: the components of the Free pack (listed in its registry.json), the core/ helpers, the design tokens, the CLI and the MCP server. As delivered in the Pro pack, these files are licensed to you under this license; their Free pack versions remain available to anyone under the MIT License, and this license does not restrict that. Everything else in the Pro pack (every other component, the Exclusive components and the blocks) is licensed exclusively under this license, and the MIT License never applies to it. This license grants no right to the Marvelous UI name or logo.

Duration, updates and Renewal

A Plan is paid once. This license is perpetual for every version of the Software you obtained while your Plan or your Renewal was current. Your Plan includes 12 months of new components, updates (new versions) and playground exports from the date of purchase; its License key expires after 12 months. An optional yearly Renewal extends new components, updates and playground exports by 12 months at a time. It renews automatically until you cancel it, which you can do at any time from your customer portal, and it issues its own License key, valid as long as the Renewal runs. When the Renewal is not taken or is cancelled, you keep this license for everything you already obtained; new versions and playground exports stop.

Self-certification and true-up

1. On the licensor's written request, at most once every 12 months, you certify in writing within 30 days the name of the legal entity using the Software and the number of Developers who used it during the previous 12 months, with, for Solo and Team, the names of the seat holders.
2. If that number, or the use outside your legal entity, exceeds your plan, you pay within 30 days the difference between the catalog price of the plan that matches your actual use and the price you paid. The catalog price is the regular price listed on the Marvelous UI pricing page on the date of the certification, not a launch or discounted price.
3. Failing to certify within 30 days is a breach of this license.

Refund and chargeback

This license, and the License key of the purchase, terminate on the date on which the purchase is refunded or charged back. You must then stop using the Software and delete every copy of it. A refund or chargeback of a Renewal ends only that Renewal and its License key. The refund conditions themselves are set out in the Terms of sale.

Your statutory rights

Nothing in this license restricts the rights that the law grants to a lawful user of software and that no contract can exclude, such as making a backup copy or observing and studying how the Software works.

Warranty and liability

The Software is provided "as is". If you are a business, the licensor's total liability is limited to the amount you paid in the twelve months preceding the claim, except in case of gross negligence or willful misconduct. If you are a consumer, this limit does not apply and you keep your statutory rights, including the legal guarantee of conformity for digital content.

Termination

If you materially breach this license and do not cure the breach within 30 days of the licensor's written notice, this license terminates. A breach that cannot be cured, such as redistributing the Software, terminates it immediately. Governing law: France. Consumers keep the mandatory protection of their country of residence; for business customers, the courts of Toulouse, France, have exclusive jurisdiction.
